WILLARD BAY SAUNA TERMS OF SERVICE AND LIABILITY WAIVER

PLEASE READ THIS DOCUMENT CAREFULLY. BY CLICKING "I AGREE" OR USING THE WILLARD BAY SAUNA SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

DEFINITIONS

"Willard Bay Sauna" refers to State Park Saunas LLC d/b/a Willard Bay Sauna, its owners, operators, employees, agents, affiliates, successors, and assigns.

"Services" refers to the use of any sauna facilities, equipment, or related amenities provided by Willard Bay Sauna.

"User," "you," or "your" refers to any individual who uses or attempts to use the Services.

ACKNOWLEDGMENT OF RISKS

You acknowledge and agree that use of the Services involves inherent risks, including but not limited to:

a) Overheating, dehydration, and heat exhaustion

b) Dizziness, fainting, or loss of consciousness

c) Burns from contact with hot surfaces or steam

d) Slip and fall injuries

e) Aggravation of pre-existing medical conditions

f) Heart attack, stroke, or other cardiovascular events

g) Death

You expressly assume all risks associated with the use of the Services, whether known or unknown, foreseeable or unforeseeable.

ASSUMPTION OF THE RISKS

I recognize on behalf of myself, spouse, heirs, estate, and assigns that the risk of injury from the activities involved in this program is significant. I recognize that severe injuries, including permanent paralysis or death can occur in activities involving height or motion, including but not limited to breath work, training routines with ice/cold/heat, extreme cold, ice baths, weather conditions, condition of participants, equipment, or other factors. Potential injuries include but are not limited to heart failure, loss of consciousness, and stroke and may be caused by extreme cold, ice baths, weather conditions, condition of participants, equipment, or other factors.

While particular rules, equipment, and personal discipline may reduce this risk, the risk of serious injury still does exist. I knowingly and freely assume all such risks, both known and unknown, even if arising from the negligence of Willard Bay Sauna or others such as volunteers and trainers, and I assume full responsibility for my participation.

HEALTH AND MEDICAL CONDITIONS

You represent and warrant that you have consulted with a licensed physician and have been cleared to use the Services. You agree not to use the Services if you have any of the following conditions, unless explicitly cleared by a licensed physician:

a) Pregnancy

b) Cardiovascular conditions, including but not limited to hypertension, hypotension, heart disease, or history of heart attack

c) Respiratory conditions, including but not limited to asthma or COPD

d) Epilepsy or history of seizures

e) Diabetes

f) Recent surgery or open wounds

g) Skin conditions or sensitivities

h) History of heat-related illness

i) Any condition that may be aggravated by heat exposure

You agree to immediately cease use of the Services and seek medical attention if you experience any unusual symptoms or discomfort during or after use of the Services.

PROPER USE OF SERVICES

You agree to use the Services in accordance with all posted rules, verbal instructions from staff, and the following guidelines:

a) Limit sauna sessions to a maximum of 20 minutes unless otherwise instructed

b) Drink plenty of water before, during, and after sauna use

c) Do not use alcohol or drugs before or during sauna use

d) Do not sleep in the sauna

e) Exit the sauna immediately if you feel dizzy, nauseous, or uncomfortable

f) Do not touch heating elements or pour water on rocks unless explicitly permitted

g) Use a towel on sauna benches and do not wear street clothes or shoes in the sauna

h) Do not use any oils, lotions, or other substances in the sauna without prior approval

i) Wash feet in the provided bucket before entering the sauna

j) Stay in the sauna for no longer than 20 minutes at a time (we recommend 5-15 minute sessions)

k) Gently pour water onto the sauna stove; drizzle, don't dump water

l) Only pour the provided 'sauna water' on hot rocks and nothing else

m) Get changed within your booked time slot if using the changing room

SAUNA RULES AND ETIQUETTE

All visitors must respect the sauna rules. Visitors who do not respect the sauna rules will be removed immediately without compensation. Verbal and non-verbal disruptive behavior and intimate physical contact is not allowed. We reserve the right to refuse access or ask people to leave if they are excessively drunk, under the influence of drugs, or are engaged in any kind of inappropriate or sexual behavior. Any behavior that could damage the reputation of the company, such as sex, violence, and drugs, will not be tolerated, and we reserve the right to report people who engage in such activities.

Additional rules include:

a) Alcohol and nudity are not permitted in the sauna. Willard Bay Sauna reserves the right to refuse admission to intoxicated persons.

b) Children under the age of 16 are not permitted to use the sauna.

c) Any hanging jewelry should be removed before entering the sauna to prevent burning.

d) If you are making a booking on behalf of a group, it is your responsibility to make your group aware of these terms and conditions and to practice safe sauna use.

ACCESS AND LOCKOUT POLICY

Access Responsibility 1.1 You are solely responsible for: a) Maintaining and safeguarding your access code b) Entering and exiting the facilities within your Allotted Time c) Ensuring proper operation of the access system during your session

1.2 Lockout Liability a) Willard Bay Sauna bears no responsibility or liability whatsoever if you are locked out of the facilities for any reason, including but not limited to: i) Forgetting or misplacing your access code ii) Technical issues with your phone or device iii) Poor cellular service or internet connectivity iv) Power outages v) Equipment malfunction vi) Weather conditions vii) Any other circumstance resulting in inability to access the facilities

1.3 No Refunds or Compensation a) No refunds, credits, or compensation will be provided for any session time lost due to lockout b) This policy applies regardless of: i) The cause of the lockout ii) The duration of the lockout iii) Any consequential losses or damages iv) Weather conditions v) Technical issues vi) Any other circumstances

1.4 Emergency Procedures a) In case of lockout, you agree to: i) Not attempt to force entry ii) Not damage or tamper with any equipment iii) Contact emergency services only in cases of genuine emergency iv) Accept that response time for non-emergency lockout assistance is not guaranteed

PROPERTY DAMAGE AND LIABILITY

Property Damage Responsibility 1.1 You assume full responsibility for any damage to: a) The sauna structure b) Heating equipment c) Electronics and control systems d) Door and locking mechanisms e) Changing facilities f) Surrounding grounds and landscaping g) Any other Willard Bay Sauna property or equipment

1.2 Scope of Liability a) Your liability extends to damage caused by: i) Direct actions or negligence ii) Members of your party iii) Unauthorized guests you allow access iv) Attempts to modify or override facility systems v) Improper use of equipment or facilities

1.3 Cost Recovery a) You explicitly authorize Willard Bay Sauna to: i) Charge your payment method on file for repair or replacement costs ii) Pursue legal action to recover damages exceeding card limits iii) Collect reasonable administrative fees related to damage resolution iv) Charge for lost revenue during repair periods

1.4 Documentation a) Willard Bay Sauna's documentation of damage, including but not limited to: i) Security camera footage ii) Staff reports iii) Contractor assessments iv) Photographic evidence shall be considered accurate and binding for purposes of determining liability

SESSION DURATION AND OVERSTAY POLICY

1. Session Parameters

1.1 "Allotted Time" means the exact duration specified during the booking process, which includes all time spent:

a) Preparing to use the sauna

b) Using the sauna

c) Using any changing facilities

d) Vacating the premises

2. Overstay Charges and Enforcement

2.1 Automatic Extension and Charges

a) Any presence on the premises beyond your Allotted Time without prior written approval constitutes an "Overstay"

b) Each Overstay automatically triggers charges for additional session(s) at the then-current standard rate

c) Charges apply to both full and partial additional sessions

d) You explicitly authorize Willard Bay Sauna to charge your payment method on file for any such Overstay

2.2 No Guarantee of Continued Access

a) Payment or charging for Overstay time does not guarantee continued exclusive use of the facilities

b) Willard Bay Sauna reserves the right to:

i) Limit access during Overstay periods

ii) Reassign the space to other customers

iii) Take necessary actions to maintain facility scheduling

3. Monitoring and Enforcement

3.1 Willard Bay Sauna may utilize:

a) Electronic access logs

b) Security cameras

c) Staff oversight

d) Other monitoring methods to track session usage and enforce this policy

3.2 Enforcement Actions

a) Records from any monitoring method shall be considered accurate and binding

b) Repeated or excessive Overstays may result in:

i) Suspension of booking privileges

ii) Termination of booking privileges

iii) Additional penalties as deemed appropriate

4. User Responsibilities

4.1 Time Management

a) You are solely responsible for monitoring your usage time

b) You must vacate all facilities promptly at the end of your Allotted Time

c) Additional time requires either:

i) Advance booking and payment for a new session, or

ii) Explicit written approval from authorized Willard Bay Sauna staff

4.2 No Exceptions

a) This policy applies regardless of:

i) Facility occupancy

ii) Time of day

iii) Day of week

iv) Season

v) Weather conditions

vi) Any other circumstances not explicitly excused in writing

5. Acknowledgment

5.1 By booking or using the Services, you explicitly acknowledge and agree that:

a) You understand this Overstay Policy

b) You accept all associated fees and penalties

c) You authorize automatic charging for any Overstay

d) You recognize this policy as an essential element of facility operations

ENVIRONMENTAL HAZARDS AND SLIP/FALL RISKS

By using the services and facilities of Willard Bay Sauna, you acknowledge and expressly assume all risks associated with environmental and facility-related hazards, including but not limited to:

Slippery or icy surfaces resulting from water runoff, condensation, or weather conditions.
Ice formation caused by water runoff from sauna features, including but not limited to the bucket shower and other water-related amenities.
Wet, uneven, or otherwise hazardous walking surfaces surrounding the sauna facilities.

You understand and agree that despite reasonable maintenance efforts, environmental factors such as freezing temperatures can cause ice to form on surfaces around the sauna. You voluntarily assume all risks of slipping, falling, or other injuries that may result from these conditions.

By clicking "I AGREE" or using the Willard Bay Sauna services, you:

Accept Full Responsibility: Acknowledge that you are solely responsible for your safety and for exercising caution while moving around the sauna premises, particularly in areas that may be wet or icy.
Release of Liability: Fully release, waive, discharge, and covenant not to sue Willard Bay Sauna, its owners, operators, employees, agents, affiliates, successors, and assigns from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any slip, trip, or fall incident, including those caused by ice or water hazards.
Indemnification: Agree to indemnify, defend, and hold harmless Willard Bay Sauna from all claims, causes of action, damages, judgments, costs, or expenses, including attorney fees, related to injuries or damages caused by environmental conditions on the premises.

It is your responsibility to wear appropriate footwear and to use extreme caution when moving on or around the sauna premises, especially during cold weather or after using water features.

By agreeing to these terms, you confirm that you have read, understood, and accepted the risks associated with environmental hazards, including those resulting from ice and water accumulation on the sauna premises.

CANCELLATION AND BOOKING POLICY

Final Sale 1.1 All bookings are final sale and non-refundable 1.2 No cancellations, modifications, or changes are permitted under any circumstances 1.3 No exceptions will be made for: a) Weather conditions b) Personal emergencies c) Schedule conflicts d) Illness e) Travel issues f) Any other circumstances
No Transfer 2.1 Bookings cannot be: a) Transferred to another person b) Rescheduled to a different time c) Converted to credit d) Exchanged for other services e) Deferred to a future date
No Refunds 3.1 Refunds will not be issued under any circumstances, including but not limited to: a) Inability to attend b) Partial use of booked time c) Dissatisfaction with service d) Technical issues e) Weather conditions f) Force majeure events
Booking Responsibility 4.1 It is your sole responsibility to: a) Verify your schedule before booking b) Ensure ability to attend c) Plan for contingencies d) Arrive on time e) Complete your session within the Allotted Time
Agreement 5.1 By making a booking, you explicitly acknowledge and agree that: a) You understand this no-cancellation policy b) You accept all financial responsibility c) You waive any right to dispute charges d) You will not seek refunds through your payment provider

RELEASE OF LIABILITY AND INDEMNIFICATION

To the fullest extent permitted by law, you hereby release, waive, discharge, and covenant not to sue Willard Bay Sauna from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by you or to any property belonging to you, while using the Services or while on or upon the premises where the Services are being conducted.

You agree to indemnify, defend, and hold harmless Willard Bay Sauna against all claims, causes of action, damages, judgments, costs or expenses, including attorney fees and other litigation costs, which may in any way arise from your use of the Services.

UNAUTHORIZED ACCESS AND "TAILGATING"

You acknowledge and agree that "tailgating" or "piggybacking" - the act of allowing unauthorized individuals to enter the sauna facilities without proper payment or reservation - is strictly prohibited. By accepting these terms, you expressly agree that if you are found to have allowed or facilitated unauthorized access to the Services for any individual(s) who have not paid for such access, you will be held liable for the full price of a session for each such individual.

You hereby authorize Willard Bay Sauna to charge your credit card on file for any such violations. The charge will be equal to the full price of a standard session multiplied by the number of unauthorized individuals you allowed to enter. This charge will be in addition to any other fees or charges associated with your own use of the Services.

Furthermore, you agree that Willard Bay Sauna may, at its sole discretion, suspend or terminate your access to the Services for any violations of this policy. Repeated violations may result in permanent ban from using Willard Bay Sauna facilities.

You acknowledge that Willard Bay Sauna may use various methods to detect unauthorized access, including but not limited to security cameras, staff observations, and electronic access logs. By using the Services, you consent to such monitoring for security purposes.

EXTERIOR CONDITIONS AND WEATHER-RELATED HAZARDS

Exterior Conditions 1.1 You acknowledge and understand that the operation of the sauna facility may create or contribute to various exterior conditions including but not limited to: a) Water runoff from bucket showers and other sauna operations b) Ice formation from water freezing on exterior surfaces c) Wet or slippery surfaces on walkways, steps, and concrete pads d) Changes in surface conditions due to weather interactions with sauna operations 1.2 These conditions may be present: a) During your scheduled session b) When entering or exiting the facilities c) In varying weather conditions d) At any time of day or night e) In any season
Assumption of Risk for Exterior Conditions 2.1 You expressly assume all risks associated with: a) Walking on or near any wet or icy surfaces b) Navigating exterior areas affected by sauna operations c) Encountering weather-related hazards exacerbated by sauna operations d) Any combination of natural weather conditions and sauna-operation effects
Your Responsibilities 3.1 You agree to: a) Exercise heightened caution when walking on exterior surfaces b) Wear appropriate footwear for weather conditions c) Use provided walkways and designated paths d) Report any hazardous conditions to staff immediately e) Not create additional hazards through improper use of facilities
Acknowledgment of Maintenance Limitations 4.1 You understand and acknowledge that: a) Weather conditions may change rapidly b) Surface conditions may vary or change during your session c) Immediate removal of ice or treatment of slippery conditions may not always be possible d) Natural accumulation of snow or ice may combine with sauna operations to create additional hazards
Release of Liability for Exterior Conditions 5.1 In addition to the general release of liability, you specifically release Willard Bay Sauna from any claims arising from: a) Slip and fall incidents on exterior surfaces b) Injuries related to ice formation from sauna operations c) Accidents involving weather-related conditions exacerbated by sauna use d) Any incident involving exterior surface conditions

PHOTO AND VIDEO RELEASE

You grant Willard Bay Sauna the irrevocable right to use your likeness, image, voice, or appearance as captured in any photos, videos, or recordings taken while using the Services without compensation or permission. You understand these may be used for any legitimate purpose, including but not limited to marketing, social media, and promotional materials.

PROPERTY LOSS

Willard Bay Sauna is not responsible for any loss or damage to your personal property while using the Services. You are solely responsible for securing your belongings.

CANCELLATION AND MODIFICATION POLICY

Definitions

1.1 "Appointment" means any scheduled session or booking for the use of our sauna facilities.

1.2 "Cancellation" refers to the termination of an existing Appointment.

1.3 "Modification" means any change to the original Appointment details, including but not limited to time, date, duration, or number of participants.

12-Hour Policy

2.1 The Customer acknowledges and agrees that any Cancellation or Modification request must be made no less than twelve (12) hours prior to the scheduled commencement of the Appointment.

2.2 For the avoidance of doubt, the 12-hour period shall be calculated backwards from the Appointment's scheduled start time.

Prohibition of Late Cancellations and Modifications

3.1 The Customer is hereby notified and agrees that any attempt to Cancel or Modify an Appointment within the 12-hour period immediately preceding the scheduled Appointment time is strictly prohibited.

3.2 Such prohibited actions include, but are not limited to:

a) Requesting a refund

b) Changing the Appointment time

c) Altering the number of participants

d) Transferring the Appointment to another party

e) Any other substantial change to the original booking

Enforcement

4.1 The Company reserves the right to enforce this policy without exception.

4.2 Any attempt to circumvent this policy may result in forfeiture of any fees paid and may, at the Company's sole discretion, result in the Customer being barred from future bookings.

Force Majeure

5.1 Notwithstanding the above, the Company may, at its sole discretion, waive this policy in cases of provable emergency, natural disaster, or other unforeseeable circumstances beyond the Customer's control.

5.2 The burden of proof for such circumstances shall rest solely with the Customer.

COMPLIANCE WITH RULES AND STAFF INSTRUCTIONS

You agree to comply with all posted rules and staff instructions. Willard Bay Sauna reserves the right to refuse service or terminate your use of the Services at any time for non-compliance or for any reason deemed necessary for safety or proper operation of the facility.

NO WARRANTY

The Services are provided "as is" and "as available" without any warranty of any kind, express or implied. Willard Bay Sauna expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

LIMITATION OF LIABILITY

In no event shall Willard Bay Sauna be liable for any direct, indirect, incidental, special, exemplary, or consequential damages, including but not limited to personal injury, property damage, lost profits, or data loss, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages.

GOVERNING LAW AND JURISDICTION

This agreement shall be governed by and construed in accordance with the laws of the State of Utah. Any legal action arising out of or relating to this agreement shall be filed only in the state or federal courts located in Utah, and you hereby consent and submit to the personal jurisdiction of such courts.

SEVERABILITY

If any provision of this agreement is held to be unenforceable or invalid, such provision shall be modified to the extent necessary to make it enforceable and valid, and the remaining provisions of this agreement shall remain in full force and effect.

ARM'S LENGTH AGREEMENT

This Agreement and each of its terms are the product of an arm's length negotiation between the Parties. In the event any ambiguity is found to exist in the interpretation of this Agreement, or any of its provisions, the Parties, and each of them, explicitly reject the application of any legal or equitable rule of interpretation which would lead to a construction either "for" or "against" a particular party based upon their status as the drafter of a specific term, language, or provision giving rise to such ambiguity.

ENTIRE AGREEMENT

This agreement constitutes the entire agreement between you and Willard Bay Sauna regarding the use of the Services and supersedes all prior agreements and understandings, whether written or oral.

BY CLICKING "I AGREE" OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT, AND YOU VOLUNTARILY GIVE UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE WILLARD BAY SAUNA.
